PLEASE READ ALL PARTS OF THIS AGREEMENT (AS DEFINED BELOW) CAREFULLY BEFORE ACCESSING OR USING ANY PORTION OF THE ALIGNI SOFTWARE (AS DEFINED BELOW). THIS AGREEMENT GOVERNS ALL ACCESS AND USE OF THE ALIGNI SOFTWARE. BY CLICKING ON THE “I AGREE” BUTTON OR A SIMILAR BUTTON, OR BY OTHERWISE ACCESSING ANY PORTION OF THE ALIGNI SOFTWARE, THE CUSTOMER HEREBY AGREES TO AND ACCEPTS ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT.
THE CUSTOMER ALSO HEREBY REPRESENTS AND WARRANTS TO ALIGNI THAT THE INDIVIDUAL THAT HAS CONSENTED TO THIS AGREEMENT ON BEHALF OF THE CUSTOMER IS AN AUTHORIZED AGENT OR REPRESENTATIVE OF THE CUSTOMER AND, THUS, SUCH INDIVIDUAL HAS ALL REQUISITE POWER AND AUTHORITY TO BIND THE CUSTOMER TO THIS AGREEMENT.
AGREEMENT
The Customer hereby further agrees to all of the following terms and conditions:
This “Agreement” collectively includes, and hereby incorporates, all of the following:
- This “Aligni Incorporated–Customer Agreement”; and
- Aligni’s “Terms of Use Agreement” which is hereby made a part of this agreement by this reference, and can be viewed at this link: https://aligni.com/terms-of-use; and
- The particular service plan and payment plan selected for the Customer pursuant to, and subject to the terms and condition in, Aligni’s “Plans and Pricing” page at https://aligni.com/pricing.
For purposes of this Agreement, “Customer“ means the business or institution that is identified as the owning entity that is entering into this Agreement with Aligni by clicking on (or otherwise checking) the “click to agree” checkbox, “I Agree” checkbox, or any similar button or box, or by otherwise accessing or using the Aligni Software (as defined below).
This Agreement applies to, and governs all access and use of, Aligni’s proprietary software, applications, programs and/or tools for use in cloud-based software for product lifecycle management and material requirements planning (the foregoing described software, applications, programs and tools are hereinafter collectively referred to as the “Aligni Software”).
Access and use of any Aligni Software is conditioned on acceptance, without modification, of this Agreement by the Customer.
BY CONSENTING TO THIS AGREEMENT, OR BY CONTINUING TO USE OR OTHERWISE ACCESS ANY PORTION OF THE ALIGNI SOFTWARE, THE CUSTOMER HEREBY AGREES THAT: (1) SUCH CUSTOMER IS HEREBY BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT AS OF THE DATE OF THE FIRST ACCESS OR USE OF ANY PORTION OF THE ALIGNI SOFTWARE BY THE FIRST AUTHORIZED REPRESENTATIVE OF THE CUSTOMER (THE “EFFECTIVE DATE”); AND (2) THAT THE CUSTOMER ACKNOWLEDGES THE RECEIPT OF ADEQUATE AND SUFFICIENT CONSIDERATION FOR THE ENFORCEMENT OF THIS AGREEMENT. NO CHANGES (ADDITIONS OR DELETIONS) BY YOU TO THIS AGREEMENT WILL BE ACCEPTED BY ALIGNI. IF YOU DO NOT AGREE TO ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT, THEN THE CUSTOMER SHOULD NOT USE ANY OF THE ALIGNI SOFTWARE.
This Agreement is a legally binding contract between the Customer and Aligni as of the Effective Date. Thus, the Customer should download all of the parts of this Agreement for its records.
